These Terms of Service ("Terms") govern the use of services provided by SteelPoint Development ("Company", "we", "our", or "us"). By accessing this website or purchasing services from SteelPoint Development, you agree to these Terms.
If you do not agree with these Terms, you may not use our services.
SteelPoint Development provides custom web development, digital tools, software solutions, website design, system integrations, and related services.
Services may include but are not limited to:
Website development
Custom web applications
Software integrations
API integrations
hosting configuration
system automation
consulting or technical services
All services are provided on a project basis unless otherwise stated.
Quotes provided by SteelPoint Development are estimates only.
Estimates include:
expected development hours
hourly rate
estimated completion timeline
Actual project cost is based on hours worked and project complexity.
If a project requires additional work beyond the agreed scope, the final cost may increase.
A non-refundable deposit is required before any development work begins.
Deposits:
reserve development time
cover initial planning and setup
confirm the client’s intent to proceed
Deposits are credited toward the final invoice but are not refundable once development has started.
Unless otherwise agreed:
Development services are billed at the hourly rate stated in the project quote.
Final invoices are based on actual hours worked.
Payments must be made within the timeframe specified on the invoice.
Failure to pay may result in:
suspension of work
suspension of services
withholding of project files
termination of the agreement
Ownership of completed work transfers only after full payment is received.
Project quotes define the scope of work.
Requests outside the original scope may include:
additional features
revisions beyond the agreed scope
design changes
integration requests
additional functionality
Scope changes may increase project cost and timeline.
SteelPoint Development reserves the right to require a revised quote before continuing additional work.
Estimated timelines are provided for planning purposes only.
Completion timelines may be affected by:
client response delays
changes in scope
third-party services
hosting issues
unforeseen technical challenges
SteelPoint Development is not liable for delays caused by these factors.
Clients agree to provide:
accurate project requirements
necessary content and assets
timely communication
access credentials when required
Delays caused by the client may extend project timelines.
Unless otherwise stated in writing:
SteelPoint Development retains ownership of:
internal development frameworks
reusable code libraries
development tools
proprietary software systems
templates and system components
Clients receive a license to use the completed project after full payment.
SteelPoint Development may reuse non-client-specific components in future projects.
Clients are responsible for any content provided including:
text
images
branding
logos
files
data
The client represents that they have the legal right to use all materials supplied.
SteelPoint Development is not liable for copyright violations or legal claims resulting from client-supplied content.
Projects may depend on third-party services including:
hosting providers
payment processors
APIs
plugins
software libraries
SteelPoint Development is not responsible for outages, failures, or policy changes affecting third-party services.
Unless explicitly stated in a service agreement, SteelPoint Development does not guarantee:
uptime
server performance
hosting availability
infrastructure reliability
Clients are responsible for maintaining hosting environments unless hosting services are specifically purchased.
To the maximum extent permitted by law, SteelPoint Development shall not be liable for:
indirect damages
lost profits
lost data
business interruption
system failures
downtime
third-party service failures
Total liability for any claim shall not exceed the amount paid by the client for the specific project.
Clients agree to indemnify and hold harmless SteelPoint Development from any claims arising from:
misuse of delivered software
unlawful content
violations of third-party rights
unauthorized modifications to delivered systems
SteelPoint Development may terminate services if:
invoices remain unpaid
the client violates these Terms
the client engages in abusive or unlawful conduct
project scope becomes unreasonable or impossible to fulfill
Upon termination, all unpaid work remains billable.
SteelPoint Development reserves the right to display completed work in portfolios, case studies, and marketing materials unless otherwise agreed in writing.
These Terms shall be governed by the laws of the State of Indiana.
Any disputes shall be resolved in the courts located within Indiana.
SteelPoint Development reserves the right to modify these Terms at any time.
Updated Terms will be posted on this website.
Continued use of services constitutes acceptance of the updated Terms.
